This BUSINESS ALLIANCE AGREEMENT (this “Agreement”), dated as of May , 2005, is made and entered into by and between Lazard Group LLC, a Delaware limited liability company (“Lazard Group”), and LFCM Holdings LLC, a Delaware limited liability company (“LFCM Holdings”).
