(“Agreement”) is entered into as of the Effective Date, as defined herein, between AVISTA CORPORATION, a Washington corporation (“Avista”); the BONNEVILLE POWER ADMINISTRATION, a Federal Power Marketing Administration (“Bonneville”); IDAHO POWER COMPANY, an Idaho corporation (“Idaho Power”); NORTHWESTERN CORPORATION, a Delaware corporation (“NorthWestern”); and PACIFICORP, an Oregon corporation (“PacifiCorp”). Avista, Bonneville, Idaho Power, NorthWestern, and PacifiCorp are each sometimes referred to as a “Party” and collectively as “Parties.”
