THIS WARRANT AGREEMENT (this “Agreement”), dated as of August 17, 2007, is made by Luminent Mortgage Capital, Inc., a Maryland corporation (including any successor, the “Company”), for the benefit of the holders from time to time (the “Warrantholders”) of the Capital Stock Warrants to be issued pursuant hereto.
