(“LLS”) a New York not-for-profit corporation with an office located at 3 International Drive, Suite 200, Rye Brook, New York 10573 and [Name of Sponsoring Institution] (“Sponsoring Institution”), located at [address of Sponsoring Institution] (individually each of LLS and the Sponsoring Institution is a “Party” and collectively they are referred to as the “Parties”);
