This CHINA RIGHTS AGREEMENT (this “Agreement”), dated as of September 24, 2012 (the “Effective Date”), is between Philip Morris Products S.A., a corporation organized under the laws of Switzerland, with offices at Quai Jeanrenaud 3, 2000 Neuchâtel, Switzerland (“PMP”) and Medicago Inc., a corporation organized under the laws of the Province of Québec, with offices at 1020 route de l’Eglise, Québec, Québec, Canada, G1V 3V9 (“Medicago”) (each a “party”; collectively, the “parties”).
