This Agreement, dated as of June 18, 2007 (this “Agreement” or the “CKX FXLR Stockholder Distribution Trust I Agreement”), is made by and between CKX, Inc. (“CKX”) and Richard G. Cushing, as trustee (in such capacity, the “Trustee”) acting on behalf and for the benefit of the CKX Beneficiaries (as defined below), for the purpose of establishing the Trust (as defined below).
