This CLASS A EQUITY AGREEMENT (this “Agreement”) is made as of November 19, 2008 by and among Communications Infrastructure Investments, LLC, a Delaware limited liability company (the “Company”), Glenn Russo (“Executive”) and VP Holdings, LLC, a Colorado limited liability company (“Holdings”).
