made and entered into as of October 24, 2018 (the “Effective Date”), by and among Trimble Clean Fuels, LLC, a Colorado limited liability company (“Producer”), Kentucky Utilities Company, a Kentucky corporation (“KUC”), and Louisville Gas and Electric Company, a Kentucky corporation (“LG&E,” and together with KUC, “Coal Consultant” or “Generator”). Producer and Coal Consultant are also each referred to herein as a “Party” and collectively as the “Parties.”
