This Paragraph 10 to the Collateral Annex to the EEI Master Power Purchase and Sale Agreement (the “Master Agreement”) is entered into between Citigroup Energy Inc. (“CEI” or “Party A”) and (“City of Rochelle” or “Party B”) as of [ ], and governs Party A’s and Party B’s obligations relating to Performance Assurance under the Master Agreement. Capitalized terms used herein shall have the meaning set forth in the following order of precedence: (a) this Collateral Annex and (b) the Master Agreement.
