AGREEMENT made as of the 10th day of December, 2007 by and between Diamond Portfolio Investment Trust, a Delaware statutory trust, with its principal office and place of business at 8730 Stony Point Parkway, Suite 205, Richmond, Virginia 23235 (“Trust”), and Watermark Solutions, LLC, a North Carolina limited liability company with its principal office and place of business at 1701 Sunset Avenue, Suite 203, Rocky Mount, North Carolina 27804 (“WS”).
