This Conditional Purchase and Sales Agreement (the “Agreement”) is entered into by and between Lexmark Internacional, S.A. de C.V., represented herein by William Steven Davis, in his capacity as Attorney in Fact (hereinafter referred to as “Seller”), and Aligntech de Mexico, S. de R.L. de C.V., represented herein by Roger E.
