NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties covenant and agree as follows:
SECOND AMENDMENT TOConference Center Management Agreement • December 5th, 2023
(the “Second Amendment”) is entered into effective as of the 1st day of January, 2024, by and between BASE VILLAGE METROPOLITAN DISTRICT NO. 1, a quasi-municipal corporation and political subdivision of the State of Colorado (the “District”), and SNOWMASS MOUNTAIN LODGING, LLC, a Delaware limited liability company (the “Manager”). The District and the Manager are referred to individually as a "Party" and collectively referred to herein as the “Parties.”
