This binding interim agreement (the "Agreement") is intended to outline certain matters that have been discussed in general terms by Maricann Group Inc. ("MCI") and Green Streaming Finance Company of Canada Inc. (the "Company") (MCI and the Company are collectively referred to herein as the "Parties"). Further to their discussions, the Company and MCI wish to enter into certain business arrangements (the "Transaction") on the terms and conditions set forth below. It is the intention of the Parties that: (i) the terms and conditions of this Agreement and all of the rights and obligations of the Parties contained herein shall be legally binding upon and enforceable against the Parties upon the execution and delivery of this Agreement; (ii) this Agreement supersedes any and all previous correspondence, agreements or understanding between the Parties; and (iii) upon execution and delivery of the Definitive Agreement (as defined herein), the Definitive Agreement shall replace and supersede
