THIS CONFIDENTIAL OFFICER RESIGNATION AGREEMENT AND GENERAL RELEASE (this “Agreement”) is entered into by and between Denbury Resources Inc., a Delaware corporation (“DRI,” and together with its subsidiaries, collectively, the “Company”), and Bradford M. Kerr (“Kerr”), and is effective as of September 21, 2015 (the “Effective Date”), unless revoked by Kerr pursuant to, and in accordance with, Section 7(c).
