Reference is hereby made to the Employment Agreement dated as of May 1, 2008, as amended (the “Employment Agreement”) between me, Michael Smiley, and Zebra Technologies Corporation (the “Company”). This Confidential Waiver Agreement and General Release (“Waiver/Release”) is a binding agreement between me and the Company and is the waiver and release referenced pursuant to Section 7B(3) of the Employment Agreement. My employment will terminate on December 2, 2016 (the “Termination Date”). I voluntarily and of my own free will sign this Waiver/Release because the Company is agreeing to give me something of value in return for my signing this Waiver/Release.
