This confirmation letter (“Confirmation”) confirms the mutual understanding and agreement (“Transaction”) between Calpine Energy Services, L.P. (“Seller”) and Pacific Gas and Electric Company (“Buyer”), each individually a “Party” and together the “Parties”, dated as of April , 2012 (the “Execution Date”), in which Seller agrees to provide to Buyer the right to the Product, as such term is defined in Section 3 of this Confirmation.
