This Fifth Amendment to the Consolidated Exclusive Agency and Distribution Agreement (“Fifth Amendment”) is made effective as of [DATE], 2021 (“Fifth Amendment Effective Date”) by and between Dr. Falk Pharma GmbH, a limited liability company incorporated in Germany having its registered office and principal place of business at Leinenweberstraße 5, 79108 Freiburg, Germany (“Falk”) and CMS Bridging Limited, a company incorporated under the laws of Hong Kong registered with the Commercial Register of 65662916 and with its registered office at Unit 2106, 21/F, Island Place Tower, 510 King’s Road, North Point, Hong Kong (“CMS”).

Capitalized terms not defined in this Second Amendment shall have such meanings as set forth in the Agency and Distribution Agreement. The definitions of any capitalized terms set forth in this Second Amendment shall replace the definitions of such capitalized terms in the Agency and Distribution Agreement.
