 Consolidation, Extension, and Modification (CEM) Agreement Certified true copy executed by all parties and includes name and title of authorized signor. Must include a completed Notary section for both the borrower and lender signatures. If MERS is the beneficiary, the MOM verbiage must be incorporated into Section E of the CEM Agreement. If the MOM verbiage is incorporated into Section E, a signature on behalf of MERS is required on a signature lineinserted by a certifying MERS officer along with valid notary.  Exhibit A - Schedule of Mortgages Must be clearly labeled as "Exhibit A" and list all Notes and Mortgages being consolidated, modified, and extended. The CEMA consolidates into one document the terms of prior notes and mortgages related to the security property and, if new funds are advanced to the Borrower(s) at the time of consolidation, the terms of the new note and mortgages. In such instances, the consolidation must be documented on Fannie Mae’s standard Consolidation, Extension and Modification Agreement, Form 3172 (or an equivalent Fannie Mae approved form). The

Sellers often document refinance Mortgages secured by property located in New York State using a New York Consolidation, Extension and Modification Agreement (the “NY CEMA”). The NY CEMA combines into one set of rights and obligations all the promises and agreements stated in existing Notes and Mortgages secured by the Mortgaged Premises, including, if new funds are advanced to the Borrower at the time of the consolidation, a new Note and Mortgage. The result is that the Borrower has one consolidated loan obligation that is paid in accordance with the terms of the NY CEMA. When documenting a refinance Mortgage using a NY CEMA, you must use a Consolidated Note that must be executed by the Borrower. The consolidated loan terms, as stated in the NY CEMA, are restated in the Consolidated Note.
