These additional terms and conditions are required by law, as indicated herein (Additional Terms), and shall be executed by the Consultant prior to the Division of Law executing any Consultant Retention Agreement on behalf of any of its clients. These Additional Terms shall be incorporated into any Consultant Retention Agreement (Retention Agreement) executed by the Division of Law and Consultant.

This AGREEMENT is entered into this 1st day of April 2009 between the UNIVERSITY OF SOUTH FLORIDA B OARD OF TRUSTEES, a public body corporate on behalf of the UNIVERSITY OF SOUTH FLORIDA POLYTECHNIC (hereinafter “USF”) and LIGHTHOUSE ADVISORS, INC. a Florida for profit corporation (hereinafter “Consultant”). This AGREEMENT shall bind the parties upon its execution by their representatives and shall become effective upon the date of the last signature.
