This Consulting and Administrative Services Agreement (this “Agreement”), dated effective as of August 15, 2018 (the “Effective Date”), by and between Mother Grows Best, LLC, an Ohio limited liability company (the “Company”), Marla Dorf, an individual (“Marla”), Lisa Axonovitz, an individual (“Lisa” and, together with Marla, “Members”), and Verano Holdings, LLC, a Delaware limited liability company (“Consultant”) or its assigns. The Company, Members and Consultant are sometimes collectively referred to herein as the “Parties” or individually as the “Party”.
