This Consulting Agreement (“Agreement”) is entered into effective as of September 6, 2019 by and between FLORA GROWTH CORP. (“Client”) An Ontario , Canada Corporation, together with its subsidiaries and affiliates existing now or in the future (collectively the “Company”) and DALV Consulting, LLC (“Consultant”), a Pennsylvania Limited Liability Company. The Company desires to retain Consultant as an independent contractor to perform consulting services for the Company, and Consultant is willing to perform such services, on the terms described below.
