EX-10.2 3 exhcontinuingguarantydecke.htm CONTINUING GUARANTY AGREEMENT CONTINUING GUARANTY AGREEMENT This CONTINUING GUARANTY AGREEMENT (“Guaranty”), is entered into as of July 9, 2014, by DECKERS OUTDOOR CORPORATION, a Delaware corporation (“Guarantor”) in favor of CALIFORNIA BANK & TRUST, a California banking corporation (“Lender”). RECITALS A. Deckers Cabrillo, LLC, a California limited liability company (“Borrower”), has agreed to borrow up to the maximum sum of Thirty-Three Million Nine Hundred Thirty Thousand Five Hundred and No/100 Dollars ($33,930,500.00) (“Loan”), to be evidenced by that certain Promissory Note Secured by Deed of Trust of even date herewith executed by Borrower in favor of Lender (“Note”).
