The Department of State Health Services (“System Agency”, or “DSHS”), an administrative agency within the executive branch of the state of Texas, and Netsmart Technologies, Inc. (“Contractor” or “Netsmart”), having its principal office at 11100 Nall Ave. Overland Park, KS 66211, (each a “Party” and collectively the “Parties”), enter into the following agreement (“Contract” or “Base Contract”) for a Case Management and Investigation System (“CMIS”) with an Electronic Health Record (“EHR”) component. Capitalized terms used in this Signature Document and not otherwise defined herein have the meanings assigned to them in Attachment A, System Agency Solicitation No. HHS0011051; Attachment C, Uniform Terms and Conditions; or where the term is defined within this Signature Document.
