On March 20, 1995, a Contract To Sell7 was executed between Primetown Property Group, Inc. (PPGI) on the one hand, and Reynaldo Poblete and Tomas Villanueva (Poblete and Villanueva) on the other, over Unit 3301 of the Makati Prime Citadel Condominium in Makati City (the unit), and covered by Condominium Certificate of Title No. 25156 (CCT No. 25156).8 Poblete and Villanueva in turn executed in favor of herein respondent Michael J. O’Pallick (O’Pallick) a Deed of Assignment9 covering the unit. In October 1995, PPGI issued a Deed of Sale10 in favor of O’Pallick after the latter paid the purchase price in full.

Upon her death on April 10, 1992, her children (the Venturas) succeeded her interests and pursued the completion of the contract. They claimed to have made payments exceeding the agreed price, but upon their request for the execution of a deed of sale, the Endayas refused, leading to the Venturas filing a complaint for specific performance in the Regional Trial Court (RTC) of Parañaque City in 1996.

The contract set the purchase price at P151 million, P2.4 million of which was to be paid by Maunlad Homes as down payment payable on or before July 5, 2002, with the balance to be amortized over the succeeding 180-month period.4 Under the contract, Union Bank authorized Maunlad Homes to take possession of the property and to build or introduce improvements thereon. The parties also agreed that if Maunlad Homes violates any of the provisions of the contract, all payments made will be applied as rentals for the use and possession of the property, and all improvements introduced on the land will accrue in favor of Union Bank.5 In the event of rescission due to failure to pay or to comply with the terms of the contract, Maunlad Homes will be required to immediately vacate the property and must voluntarily turn p

The Facts

On April 26, 2005, Sps. Jovellanos entered into a Contract to Sell6 with Palmera Homes, Inc. (Palmera Homes) for the purchase of a residential house and lot situated in Block 3, Lot 14, Villa Alegria Subdivision, Caloocan City (subject property) for a total consideration of P1,015,000.00. Pursuant to the contract, Sps. Jovellanos took possession of the subject property upon a down payment of P91,500.00, undertaking to pay the remaining balance of the contract price in equal monthly installments of P13,107.00 for a period of 10 years starting June 12, 2005.7

Following full payment, a Deed of Sale was executed on September 4, 1984. This deed was registered almost a year later on August 28, 1985, leading to the cancellation of TCT No. N-79073 and issuance of TCT No. N-109417 in Sajonas’ name.
