As part of the International Offering, the Joint Global Coordinators and our Company have entered into a corporate investor agreement with each of the Cornerstone Investors in September 2007. Pursuant to these agreements, which were negotiated and entered into on arm’s length basis, the Cornerstone Investors have agreed to subscribe for such number of Offer Shares (rounded down to the nearest whole board lot of 1,000 Shares) which may be purchased for US$90 million (or its Hong Kong dollars equivalent based on the closing middle point spot rate quoted by The Hongkong and Shanghai Banking Corporation Limited for United States dollars at the close of business in Hong Kong on the Price Determination Date) at the Offer Price. As part of the Placing, the Company and the Lead Manager have entered into corporate investor agreements with the following corporate investors (the “Corporate Investors”), which have agreed to acquire an aggregate of approximately US$10 million worth of the Shares at the Placing Price. Based on the exchange rate of US$1 to HK$7.7, the total number of Shares acquired by the Corporate Investors would be approximately 56,616,000 (rounded down to the nearest whole board lot of 2,000 Shares for each of the Corporate Investors), representing approximately 24.83% of the Placing Shares or approximately 6.21% of the total number of Shares upon completion of the Placing (assuming the Over-allotment Option is not exercised and without taking into account of the Shares falling to be issued upon the exercise of any Pre-IPO Share Options or any options that may be granted under the Share Option Scheme).

Our Company and the Joint Lead Managers have entered into a corporate investor agreement (the “Cornerstone Investor Agreement”) with Manulife International Holdings Limited (the “Cornerstone Investor”) who has agreed to subscribe for the maximum number of our Shares that may be purchased with HK$21,120,000 at the Offer Price (exclusive of brokerage, SFC transaction levy and Stock Exchange trading fee), but subject to a maximum of such number of our Shares which shall represent 4.8% (equivalent to 19.2 million Shares) of the enlarged total issued share capital of our Company upon the Listing, rounded down to the nearest board lot of our Shares (the “Corporate Placing”).
