and entered into on May 21, 2022, by and between the East Bay Community Energy Authority ("EBCE"), City of San Jose, Administrator of San Jose Clean Energy ("SJCE"), for the cost- sharing and reimbursement ofcosts in connection with (1) performance ofprofessional services for joint development, review, and negotiation oflong-term {>10 year) renewable energy contracts to fulfill each organization's energy goals; and (2) additional professional services as may be desired in the future. In this Agreement, EBCE and SJCE are referred to individually as "Party" and collectively as ''the Parties."
