This COVID-19 TESTING SERVICES AGREEMENT (the “Agreement”) is entered into by and between Color Health, Inc. (f/k/a Color Genomics, Inc.), a Delaware corporation located at 831 Mitten Road #100, Burlingame, CA 94010 (“Color”) and the business entity described in Paragraph A below (the “Client”). Color provides molecular testing to detect the presence of SARS-CoV-2, the virus known to cause coronavirus disease 2019 (the “Test” or “Testing”), through a distributed proprietary software service and laboratory testing platform. By signing below, the Client agrees to have the Services performed by Color (or its subcontractor(s)) for Eligible Individuals pursuant to the terms and conditions set forth herein (the “Agreement”). For purposes of this Agreement, Color and Client each shall be referred to individually as a “party” and collectively as the “parties”. All exhibits attached hereto shall be incorporated herein.

This COVID-19 Testing Services Agreement (“Agreement”) is entered into by and between the Office of the Connecticut State Comptroller on behalf of the State of Connecticut ( “OSC”, “Comptroller” and/or “State”) and CVS Pharmacy, Inc., a Rhode Island corporation, on behalf of itself and its subsidiaries and affiliates (“CVS”) including MinuteClinic, L.L.C. (on behalf of itself, its subsidiaries and its managed entities) (MinuteClinic, L.L.C. hereinafter referred to as “MinuteClinic,” and together with CVS Pharmacy, Inc., collectively as “CVS Health”). CVS Health and State are sometimes referred to herein individually as a “Party” and collectively as the “Parties.” This Agreement is intended to be binding between the Parties, enforceable in accordance with its terms and conditions.

Testing capacity remains at 325 tests per day. However, CUROGRAM may increase daily capacity to accommodate demand fluctuations; a four-week total testing capacity not to exceed 5,200 tests.

Covid Clinic and School District are referred to herein individually as “Party” and collectively as “Parties.”
