This COST REIMBURSEMENT AGREEMENT (the “Agreement”), is made and entered into as of February 19, 2019 (the “Effective Date”), by and between GREENWAY CONSERVANCY FOR THE HUDSON RIVER VALLEY, a New York State public benefit corporation having an office and place of business at 625 Broadway, 4th Floor, Albany New York 12207 (“Developer”) and NIAGARA MOHAWK POWER CORPORATION d/b/a National Grid, a corporation organized and existing under the laws of the State of New York, having an office and place of business at 300 Erie Boulevard West, Syracuse, New York 13202 (the “Company”). Developer and Company may be referred to hereunder, individually, as a “Party” or, collectively, as the “Parties”.
