Reference is made to that certain Credit Agreement, dated as of September 12, 2011, among Colfax Corporation, a corporation organized under the laws of Delaware (the “US Borrower” or “you”), Colfax UK Holdings Ltd, a company organized under the laws of England and Wales (the “European Borrower” and, together with the US Borrower, the “Borrowers”), the lenders from time to time party thereto (the “Lenders”), Deutsche Bank AG New York Branch (“DBNY” or “Administrative Agent”), as Administrative Agent, HSBC Bank USA, N.A. (“HSBC USA”) and Deutsche Bank Securities Inc. (“DBSI” and, together with DBNY, collectively, “DB”) and HSBC Securities (USA) Inc.
