This Creditor Trust Agreement (the “Creditor Trust Agreement”) is made this [ ] day of [ ], 2018, by and among ASPC Corp. f/k/a AcuSport Corporation (“Debtor”), the Official Committee of Unsecured Creditors (the “Committee”), Laurence V. Goddard (“Goddard”) of BDO USA, LLP (“BDO”), not individually, but solely as trustee (“Creditor Trustee” and, collectively with Debtor and Committee, the “Parties”) of the trust (the “Creditor Trust”) established by this Creditor Trust Agreement in accordance with the Agreed Plan of Liquidation of Debtor and Official Committee of Unsecured Creditors dated October 2, 2018 [Docket No. 347] (attached hereto as Exhibit A and including any modifications set forth and/or incorporated into the Confirmation Order, the “Plan”).1
