This Schedule 5 ("Schedule”) is entered into as of July 1, 2021 (the “Schedule Effective Date”) and made a part of the Curriculum as a Service (CaaS) Agreement (“Agreement”), between School District and TechSmart, with an effective date of May 30, 2018 (the “Agreement”). All capitalized terms not defined in this Schedule have the respective meanings set forth in the Agreement or in the exhibits attached to this Schedule. To the extent that any term of this Schedule conflicts with any of the terms of the Agreement, and this Schedule explicitly states that it intends to modify the conflicting terms, this Schedule supersedes the Agreement.

This Curriculum as a Service (CaaS) Agreement (“Agreement”) is made by and between TechSmart, Inc. (“TechSmart”), a Delaware Corporation, and Napa Valley Unified School District (“School District”), and shall be effective as of July 15, 2018 (“Effective Date”). Each party to this Agreement may also be referred to herein individually as a “Party” and collectively as the “Parties.”

All capitalized terms not defined in this Schedule have the respective meanings set forth in the Agreement or in the exhibits attached to this Schedule. To the extent that any term of this Schedule conflicts with any of the terms of the Agreement, and this Schedule explicitly states that it intends to modify the conflicting terms, this Schedule supersedes the Agreement.
