This Salary Stock Unit Award Agreement (the “Agreement”) is made and entered into as of January 1, 2012 by and between Zions Bancorporation, a Utah corporation (the “Company”), and the person named on Exhibit A (the “Grantee”) pursuant to the Company’s 2005 Stock Option and Incentive Plan (the “Plan”).
