The purpose of this term sheet is to outline the general terms being considered by the parties as they negotiate a Development and Financing Assistance Agreement (“Assistance Agreement”) with the Tulsa Development Authority (“TDA”) to provide assistance in development financing to the Developer for the proposed Projects, contingent upon the adoption by the City of Tulsa of the North Tulsa Economic Development Project Plan (“Project Plan”) and the creation of one or more increment districts under the Local Development Act, 62 O.S. §§ 850-869.

The purpose of this term sheet is to outline the general terms under which the Stillwater Economic Development Authority, a public trust (“SEDA”) and Gaia Holdings, LLC, an Oklahoma limited liability company (“Redeveloper”) intend to enter into a Development and Financing Assistance Agreement (“Assistance Agreement”) to provide assistance in development financing to the Redeveloper for the proposed development pursuant to the Stillwater (Re)Investment Plan (A Stillwater Downtown/Campus Link Project Plan) (“Project Plan”). Neither this term sheet nor any oral representations or promises create a binding commitment on the part of either party; a legally binding commitment will result only from the delivery of definitive and mutually acceptable legal documentation approved by the Board of Trustees of SEDA and executed by both parties.
