THIS DEVELOPMENT COST SHARING AND EQUITY OPTION AGREEMENT (the “Agreement”) is entered into as of May 25, 2007 (the “Effective Date”), by and among Rentech, Inc., a Colorado corporation (“Rentech”), and Peabody Venture Fund, LLC, a Delaware limited liability company (“Peabody”).
