This Amendment No. 2 ("Amendment") is effective as of this 23rd day of January, 2004 ("Amendment Effective Date") by and between American Airlines, Inc., a Delaware corporation with its principle offices in Fort Worth, Texas ("AA") and Orbitz, LLC, a Delaware limited liability company with offices in Chicago, Illinois ("Orbitz").
