THIS UV AND NON-UV DHE LICENSE AGREEMENT (this “Agreement”), dated as of July __, 2014 (“Effective Date”), is entered into by and between Culver Digital Distribution Inc., a Delaware corporation (“Licensor”), and Kaleidescape, Inc., a Delaware corporation (“Licensee”). This First Amendment (“Amendment”), to the DHE License Agreement dated December 10, 2009 (the “Agreement”), by and between Culver Digital Distribution Inc., a Delaware corporation and affiliate of Sony Pictures Home Entertainment Inc. (“Licensor”) and Verizon Corporate Services Inc., a New York corporation (“Licensee”), is entered into and effective as of December __, 2010January 31, 2011 (the “Amendment Date”). In consideration of the promises included herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree that the Agreement hereby is and shall be amended as follows.
