DIGITAL ARCHIVE LICENSE AGREEMENTDigital Archive License Agreement • February 1st, 2006 • California
This Agreement will be effective on the date (the "Commencement Date") all of the following conditions have been satisfied (i) the Bulletin receives an original signed copy of this Agreement with the Licensee's subscription information completed ("Subscription Information"), (ii) the Bulletin receives payment of the Initial Subscription Fee then in effect, and (iii) the Bulletin accepts this Agreement by returning a copy of this Agreement executed by the Bulletin to the Licensee, cashing the Licensee's check for the Initial Subscription Fee or providing Licensee access to the digital archive of the Bulletin of the Atomic Scientists (the "Digital Archive"), which Digital Archive includes tables of contents, abstracts, and full texts of articles and other materials published in the current year and prior-year issues of the Bulletin of the Atomic Scientists, and certain search capabilities bundled with said content. Hybrid Systems Ltd., Inc. (HSL) is a software company that has been in business since 1986. In 2004, HSL entered into an exclusive license agreement with OGR Publishing Inc. (OGR) to develop the OGR Digital Archive (consisting of multiple volumes). The OGR Digital Archive is a product consisting of proprietary software and copyrighted digital images owned by HSL of OGR's copyrighted property ("O Scale Railroading" and "O Gauge Railroading").
