This Agreement (the "Agreement") is made this 22 day of September 2009 by and among Bakbone Software Incorporated, a Canadian corporation (the "Company") and VantagePoint Venture Partners IV(Q) L.P., VantagePoint Venture Partners Principals Fund IV, L.P. and VantagePoint Venture Partners IV, L.P.
