This Amendment, made and entered into this 28th day of July, 2004, by and between New Century Bank, a bank organized and existing under the laws of the State of North Carolina, hereinafter referred to as the “Bank,” and certain Participants of the Bank, hereinafter referred to as the “Participant,” shall effectively amend the New Century Bank Directors’ Deferral Plan dated June 30, 2003, as specifically set forth herein.
