This Domestic Factoring Agreement (the "Domestic Agreement"), dated as of May 16, 2003, is entered into by and between Southwall Technologies Inc., a Delaware corporation ("Seller") having its principal place of business and chief executive office at the address set forth on Schedule 1 attached hereto, and Pacific Business Funding, a division of Cupertino National Bank ("Purchaser") having an office at the address identified above.

Reference is made to (i) the announcement (the “Announcement”) of the Company dated 13 December 2012 in relation to, among others, the entering into of the Domestic Factoring Agreement; and (ii) the announcement of the Company dated 8 January 2013 in relation to the delay in despatch of the circular (the “Circular”) regarding the aforesaid entering into of the Domestic Factoring Agreement. Unless the context requires otherwise, capitalized terms used in this announcement should have the same meanings as those defined in the Announcement.
