This EARLY CALL OPTION EXERCISE AND WAIVER AGREEMENT (this “Agreement”) is entered into as of November 12, 2021, by and among NEP Renewables Holdings, LLC, a Delaware limited liability company (“NEP Member” or the “Managing Member”), Global Energy & Power Infrastructure II Advisors, L.L.C., a Delaware limited liability company (“Global Energy”), Western Renewables Partners Holdings L.P., a Delaware limited partnership (“Blocker Parent”), Western Renewables Partners LLC, a Delaware limited liability company (the “Class B Member”), and NextEra Energy Partners, LP, a Delaware limited partnership (“NEP”), with respect to (1) the Amended and Restated Limited Liability Company Agreement, dated as of December 21, 2018 (as amended from time to time, the “LLC Agreement”), of NEP Renewables, LLC, a Delaware limited liability company (the “Company”), and (2) the Registration Rights Agreement, dated as of December 21, 2018 (as amended from time to time, the “Registration Rights Agreement”), by and
