THIS ECONOMIC PARTICIPATION AGREEMENT (this “Agreement”), dated as of October 23, 2008, but effective as of February 20, 2008 (the “Effective Date”), is entered into by and among W2007 Finance Sub, LLC, a Delaware limited liability company (“Whitehall Finance”), Whitehall Parallel Global Real Estate Limited Partnership 2007, a Delaware limited partnership (“Whitehall Parallel”, and together with Whitehall Finance, “Whitehall”), and Phyllis A.
