WHEREAS Group Health Incorporated (“GHI”), Health Insurance Plan of Greater New York (“HIP”) and HIP Insurance Company of New York (“HIPIC”) hereinafter collectively “EmblemHeatlh” are in the business of providing hospital and medical insurance benefits and/or health maintenance organization (HMO) benefits in multiple markets including the individual and group markets, and desire to improve and expand distribution and modify the way in which such business is solicited by utilizing the services of licensed Accident and Health Agents and Brokers; and
