GE, BHGE and BHGELLC may be individually referred to herein as a “Party” or collectively as the “Parties”. WHEREAS, the Transaction Agreement and Plan of Merger dated as of October 30, 2016, was entered into among GE, Baker Hughes Incorporated, Bear MergerSub, Inc., and Bear Newco, Inc.
