This Amendment (the “Amendment”) to (a) the Employment Agreement (the “Employment Agreement”), dated October 25, 2006, by and between Expedia, Inc. (the “Company”) and Burke Norton (the “Executive”), (b) the Restricted Stock Unit Agreement (installment vesting) (the “Installment RSU Agreement”), dated October 25, 2006, between the Company and the Executive and (c) the Restricted Stock Unit Agreement (cliff vesting) (the “Cliff RSU Agreement,” and together with the Installment RSU Agreement, the “RSU Agreements”), dated October 25, 2006, between the Company and the Executive, is made and entered into as of the 31st day of December, 2008, by and between the Company and Executive.
