This Employment, Confidentiality, Non-Solicitation, Non-Competition, and Non-Recruitment Agreement (the "Agreement") is made and entered into on this lst day of May, 2009 between MAXIM TEP, INC., a Texas corporation, its subsidiaries, affiliates, successors and assigns (collectively referred to as the "Company"), and ROBERT C.
