This Employment Separation and Consulting Agreement (also referred to as the “Agreement”) is made this 14th day of December, 2009, between Nalco Company, for itself and on behalf of its direct or indirect affiliates, parents, subsidiaries, successors and predecessors (collectively the “Company” or “Nalco”) and Mr. Scott C.
