This Equipment Lease Agreement, made on the (date), by and between the Lessee and the Lessor, also referred to as the “Parties” of whom both agree to be bound by this agreement. Both parties agree to the following terms and conditions:

This Equipment Financing Schedule (“Schedule”) is entered into by and between TRINITY CAPITAL INC. (“Trinity”) and CleanSpark, Inc., a Nevada corporation (“Company”) on April 22, 2022 (“Effective Date”), pursuant to that certain Master Equipment Financing Agreement dated as of April 22, 2022 (“Agreement”), which is fully incorporated herein by reference. This Schedule constitutes a separate financing instrument and will be effective for the Term, as defined below. Capitalized terms used here but not defined shall have the meaning ascribed to them in the Agreement.

A new Emergency Equipment Rental Agreement (EERA) has been negotiated between CDF and the Federal wildland fire agencies in California. This agreement becomes effective on May 1, 2005, and ends April 30, 2008. The agreement covers the forms and rates related to hiring and using rental equipment. The rates will also be included in the 3900 handbook process works and specific payment requirements.
