This EXCHANGE AGREEMENT (this “Agreement”) is made and entered into effective as of the 20th day of December, 2021, by and between GUIDED THERAPEUTICS, INC., a Delaware corporation (the “Company”) and the undersigned warrant holder of the Company (the “Warrant Holder”).
