This letter acknowledges receipt of correspondence dated July 29, 2024 (“Notice”) from the Riviera Beach Community Redevelopment Agency ("Agency") putting APDS-Tezral RBMV II, LLC (“Master Developer”) on notice of its purported failure to provide a "coordinated response" to Element 6 under the Amended and Restated Exclusive Negotiation and Development Agreement dated on or about March 22, 2023 ("Agreement"). The Notice requires the Master Developer to submit a "coordinated, cohesive, and complimentary proposal" for Elements 1 through 6 within 30 days of the Notice or the Agency will issue a "Termination Notice" of the Agreement. Please accept this letter as the Master Developer’s response to present a coordinated and cohesive response for Element 6. The Master Developer’s response to cure Elements 1 through 5 will be provided under a separate letter.
